Welcome to Strategy? Voilà! ("we," "us," "our," or the "Service"). These Terms of Service ("Terms") govern your access to and use of our web application, website, and services. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Agreement to Terms

By creating an account or using our Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree with these Terms, you must not use the Service. If you are using the Service on behalf of an organization (such as your employer or a client), you agree to these Terms on behalf of that organization.

2. The Service

Strategy? Voilà! is a web application that allows you to connect your Google Analytics 4 (GA4) and Google Search Console (GSC) accounts to generate advanced marketing strategy reports using Google's Gemini Pro API (the "Reports"). You are solely responsible for the accuracy and legality of the data you choose to analyze.

3. User Accounts

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. You must be at least 18 years old to use the Service.

4. Private Beta Program

The Service may be made available to you on a free, pre-release, "Private Beta" basis. Your use of the Beta Service is subject to the following conditions:

  • The Beta Service is provided "AS IS" and "AS AVAILABLE," without any warranties of any kind.
  • The Beta Service may contain bugs, errors, and other issues. We are not liable for any damages arising from your use of the Beta Service.
  • We may modify or terminate the Beta Program at any time, without notice.
  • Upon the conclusion of the Beta Program, your continued use of the Service will be subject to the subscription and payment terms outlined below.

5. Subscriptions and Payment (Post-Beta)

  • Paid Service: After the Private Beta phase, use of the Service will require a paid subscription. Pricing will be made available on our website.
  • Billing Cycle: The Service is billed on a monthly subscription basis. Your subscription will be charged on the first day of your billing cycle.
  • Automatic Renewal: Your monthly subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings prior to the end of the current cycle.
  • Payment Method: We use a secure third-party payment processor to handle all payments. We do not store your credit card information.
  • Price Changes: We reserve the right to change our subscription prices. We will provide you with reasonable prior notice of any price changes.

6. Cancellation and Termination

  • Cancellation by You: You may cancel your subscription at any time. Your cancellation will take effect at the end of the current paid term, and you will retain access to the Service until that date. Subscription fees are non-refundable.
  • Termination by Us: We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for any conduct that we believe violates these Terms.

7. Your Data and Content

  • You Own Your Data: You retain full ownership of your underlying GA4 and GSC data, as well as the Reports generated by the Service ("Your Content").
  • Our License to You: We grant you a limited, non-exclusive, non-transferable license to use the Service and view Your Content for your internal business purposes.
  • Your License to Us: To provide the Service, you grant us a worldwide, royalty-free license to use, process, store, and display Your Content solely for the purpose of operating, providing, and improving the Service. This license ends when you close your account.

8. Acceptable Use

You agree not to use the Service to:

  • Analyze any data for which you do not have the proper authorization.
  • Violate any applicable laws or regulations.
  • Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.
  • Introduce any viruses, malware, or other malicious code.

9. Intellectual Property

Aside from Your Content, all other aspects of the Service, including the website, text, graphics, logos, and software, are the exclusive property of Strategy? Voilà! and are protected by copyright and other intellectual property laws.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE OR THE REPORTS WILL BE ACCURATE, RELIABLE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL STRATEGY? VOILÀ! BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.

11. Governing Law

These Terms shall be governed by the laws of Córdoba, Argentina, without regard to its conflict of law provisions.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of significant changes by email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
